Creating an Upside Down Culture
Presented by Turney Stevens, Dean Emeritus, The College of Business at Lipscomb University

It was Nobel Prize winning economist Milton Friedman who said 'The chief duty, indeed the only duty, of management is to maximize shareholder value'.

This statement has been misunderstood and misapplied and created much havoc as well as outright fraud in recent years. Examples include Enron, Healthsouth, Worldcom, Volkswagen and many others.

Is there a better way? Is there a way to maximize shareholder value but also treat customers and colleagues the right way?

Exhibit A is the amazing story of Tractor Supply Company, based in Nashville, with about 1,600 farm supply stores in 44 states. Their organization chart is drawn upside down with the CEO at the bottom instead of the top. Every aspect of the business revolves around servant leadership, all flowing from this commitment.

And how has this worked out for TSC and its shareholders?

That's the amazing part of the story. For 13 consecutive years, from 2000 to 2013, TSC had the highest stock appreciation of any company listed on NASDAQ, including such high fliers as Apple, Amazon and many others. Their story is a case study in how to treat people right and still achieve Friedman's vision of the role of management in protecting and rewarding investors, employees and management.

Biography: He currently serves as the Dean Emeritus of the Lipscomb University College of Business, Executive Director of the Hilton and Sallie Dean Institute for Corporate Governance and Integrity, and Professor of Management and Strategy. Prior to retiring from his business career in 2007 and returning to his alma mater to accept the role of Dean in 2008, he was an investment banker, CEO and entrepreneur for more than 35 years.  

Stevens, 67, graduated from Lipscomb University (B.A. 1972) and from Vanderbilt University’s Owen Graduate School of Management (MBA 1981).

During his business career, he served as Managing Partner of two investment banking firms, both specializing in raising equity and debt capital from institutional investors for mid-market, high growth companies. He co-founded Rodgers Capital Corporation with the late Joe M. Rodgers, former United States Ambassador to France. The firm had offices in the United States and Europe. In 2001, he co-founded Harpeth Capital to raise capital principally for high growth companies in the health care industry, focusing on a market of transactions in the $10-25 million range.

 Stevens has served on a variety of for profit and not for profit boards throughout his career, including his current service, since 2008, on the public board of KCAP Financial Inc. (NASDAQ: KCAP) based in New York.   

 After his return to Lipscomb in 2008 and following the corporate scandals at Enron, Worldcom and Healthsouth, he founded the Hilton and Sallie Dean Institute for Corporate Governance and Integrity to serve as a forum for sharing and teaching best practices of corporate governance and for discussing and debating issues related to creating cultures of high integrity in business.
